Acceptance of Terms

These terms and conditions (these “Terms”) are entered into by and between you and Noc Flor S.L. (“Noc Flor” or “We”). These Terms govern your access to and use of our website, www.nocflor.com (the “Site”) and your purchase or use of products or services offered by us, whether through the Site or otherwise (collectively and together with the Site, the “Services”).

Please read these Terms carefully. By accessing, browsing or otherwise using the Services or by clicking to accept or agree to the Terms when this option is made available to you, you (1) acknowledge that you have read and understand these Terms, (2) represent and warrant that you meet all of our eligibility requirements for using the Services as described in these Terms, and (3) agree to be bound by these Terms, including any other terms applicable to the Services that are incorporated herein by reference. If you are using the Services on behalf of an entity, you are agreeing to these Terms for that entity and are representing to us that you have the authority to bind that entity to these Terms (in which case “you” will refer to that entity). If you do not accept these Terms or do not satisfy the eligibility requirements set forth below, you may not access or use the Services.

In addition to these Terms, your use of any Services may also be subject to specific terms applicable to a particular Service (“Additional Terms”). To the extent that there is an express conflict between these Terms and any Additional Terms you and the Company have agreed to in connection with any Services, the Additional Terms shall govern with respect to the conflict.

Changes to the Terms of Use

We reserve the right to update and revise these Terms at any time. We’ll make sure to also change the “Last Updated” date at the top of this page so you can tell if these Terms have changed since your last visit. Any such changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. Please review these Terms regularly because once we post any changes, your continued use of the Services constitutes your acceptance of the revised Terms.

Access to Services

By accessing the Services, you warrant that:

• You are legally capable of entering into binding contracts;
• All registration information you submit is truthful and accurate;
• You will maintain the accuracy of such information; and
• Your use or purchase of the Services does not violate any applicable law or regulation.

Account Registration

To purchase the Services, you are required to register with the Site and create a user account (“Account”). If you create an Account, you are solely responsible for any activity that occurs through your Account. In order for us to provide you the best possible service, you agree to provide us with complete, accurate, and updated information for your Account at all times. You agree that all information that you submit upon creation of your Account is accurate and truthful and you have the right to provide the content to the Site. If any information is incorrect or outdated, it can lead to errors or delays, for which we will not be responsible.

You should not share your Account information. You should not use another person’s Account or registration information for the Services without permission. Similarly, no one else should be able to use your Account without permission. You are solely responsible for keeping your Account and Account password secure and for any consequence resulting from your failure to do so. You should never publish, distribute, or post login information for your Account.

We have the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms. E-Commerce Platform

Shopify Inc. (“Shopify”) provides us with the online e-commerce platform that enables Noc Flor to sell the Services to you. Shopify’s terms of service can be found here: https://www.shopify.com/legal/terms.

Payment Processor; Third Party Service Provider

In the course of your use of the Services, to prevent your payment or subscription from being interrupted due to card expiration or invalidity, third party payment service providers may receive and implement updated credit card information from your card issuer. The disclosure of this updated credit card information is at the sole discretion of your card issuer. Your card issuer may give you the option to opt out of the update service. If you wish to opt out, please contact your card issuer.

Our obligation to provide the Services will only arise once we have received payment for your purchase of the Services. Prices do not include local taxes. You agree not to charge us back for payments made on your account.

Payment Information

After you have selected your items and provided your shipping information, you will be prompted to provide payment details, such as credit card information and any promotional codes you may have. By entering your payment information and submitting your order, you authorize us and our third party payment processor to charge your chosen payment method for the amount of the order.

International Shipping

Orders shipped to destinations outside of the United States, the European Union, the United Kingdom, or Canada (hereinafter referred to as “International Orders”) may be subject to import duties, customs fees, and other charges by the destination country. Any additional charges required for customs clearance must be borne by the recipient; we have no control over these charges and cannot predict what they may be.

We partner with Passport Global, Inc. (hereinafter referred to as “Passport”) to assist with the shipping of International Orders. Products in International Orders will be sold to customers in the European Union, the United Kingdom, or Canada by Passport. Changes to Fees

We may, at our sole discretion, change the fees associated with any Service or add new fees from time to time. We may also change or cancel any existing pricing model at our sole discretion at any time.

Cancellation by Us

We may suspend or terminate your use of the Services due to your fraudulent behavior or violation of these Terms. Such cancellation or suspension may be immediate and without notice. Violation of these Terms includes, but is not limited to, unauthorized copying or downloading of content from the Services.

Eligibility; User Restrictions

We only permit individuals who are at least 18 years of age or the legal age of majority in their province, territory, or country, and who are capable of entering into a legally binding contract with us, to use the Services. Individuals under the age of 18 or the legal age of majority (hereinafter referred to as “Minors”) may only use the Services with the consent and support of a parent, legal guardian, or other qualified adult. If you are a parent or guardian and you allow your Minor to use the Services, you agree to be bound by the Minor’s use of the Services and these Terms. If you are a Minor and you do not have the necessary parental or guardian consent, please do not attempt to access or use the Services.

Intellectual Property

All content contained in the Services, including but not limited to text, graphics, images, videos, audio, software, code, and designs (collectively referred to as “Content”), is owned, controlled, or licensed by Noc Flor or its licensors. All Content is protected by copyright, trademark, and other intellectual property laws and treaties. You may not copy, modify, distribute, transmit, publicly display, perform, reproduce, publish, license, transfer, or sell any Content in any way, or otherwise use any Content for any commercial purpose, without the prior written consent of Noc Flor.

Disclaimer

The services are provided on an “as is” and “as available” basis. Noc flor and its licensors, suppliers, partners, and agents expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Noc flor and its licensors, suppliers, partners, and agents do not warrant that the services will be uninterrupted or error-free, nor do they make any warranty as to the results that may be obtained from the use of the services, or as to the accuracy, reliability or content of any information, service, or merchandise provided through the site.

Noc flor and its licensors, suppliers, partners, and agents shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of or inability to use the services, any websites linked to the services, any content on the services or any websites linked to the services, or any goods or services purchased through the services, including but not limited to loss of profits, goodwill, or other intangible losses, even if noc flor has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
